NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting (EGM) of the members of the Shrewsbury Christian Centre Association will be held:

The purpose of the meeting is to consider and, if thought fit, pass the following resolutions to amend the Charity’s Constitution.
AMENDMENT 1 (Regulated Alteration)
That, subject to the approval of the Charity Commission for England and Wales:
The name of the Charity be changed from “Shrewsbury Christian Centre Association” to “Shrewsbury Ark”
AMENDMENT 2 (Regulated Alteration)
Clause 3 (Objects) of the Constitution be amended to read:
“The objects of the CIO are to relieve persons in need, in particular people experiencing or at risk of homelessness, by offering care, compassion and support including but not limited to:(1) The operation of a day centre providing support for daily needs; and(2) The provision of services tailored to support each individual’s needs.”
AMENDMENT 3
That Clause 9(1)(a) of the Constitution be amended to read:
“Membership of the CIO is open to anyone who is interested in furthering its purposes, and who has demonstrated active practical or financial support for the charity.”
AMENDMENT 4
That Clause 13(2), including all sub-clauses (a)–(f), be deleted in its entirety and replaced with:
“There are currently no nominated charity trustees.”
AMENDMENT 5
That Clause 16 of the Constitution be amended to read:
“Any person who retires as a charity trustee by rotation or by giving notice to the CIO is eligible for re-appointment. However, a charity trustee who has served for three consecutive terms under clause 13(1)(a) may not normally be reappointed for a fourth consecutive term but may be reappointed after an interval of at least three years. If there is no-one then available to take on the roles of the Officers of the charity (Chair, Secretary, Treasurer), or if the number of trustees will then be less than the minimum required by clause 12(3)(a) of this Constitution, the trustee(s) concerned may remain in post until the next following annual general meeting.”
AMENDMENT 6
That Clause 19(2) of the Constitution be amended to read:
“The charity trustees may recommend to a General Meeting that one of their number be appointed to chair their meetings. If no-one has been so appointed, or if the person appointed is unwilling or unable to preside, or if the chairman is not present within 10 minutes after the time a meeting has been called, the charity trustees present may appoint one of their number to chair that meeting. If the person duly appointed to chair meetings of trustees ceases to be a trustee under clause 15 or is otherwise unable to continue in post, the remaining trustees may appoint another to serve until the next General Meeting.”

A copy of the draft Resolution, with the rationale for each proposed amendment, the meeting agenda and a copy of the full Constitution, including the proposed amendments, are appended here.
Amendments 1 and 2 require approval by the Charity Commission before they can take effect. This approval has been received.
Members are entitled to attend, speak and vote at the meeting.
Voting will take place online by the counting of responses to each resolution.
